1. General

Welcome to STEMIO Singapore, an online service provided through STEMIO Singapore Pte. Ltd. (referred to as “STEMIO” or “the Service”). The Service allows users to access, discover, and purchase educational content, including eBooks and other digital resources, through multiple electronic platforms such as STEMIO’s website, mobile applications, and other interfaces.

By registering with, accessing, or using the Service, you signify that you have read, understood, and agree to be bound by these Terms of Use (“Terms” or “Agreement”), regardless of whether you are a registered customer (“Customer”). You may only use the Service if you agree to comply with all applicable laws and this Agreement. STEMIO reserves the right to modify, add, or remove portions of these Terms at its sole discretion without prior notice. Updated Terms will be posted on the Service, and continued use of the Service signifies acceptance of these changes.

If you fail to comply with this Agreement at any time, STEMIO may, without notice, suspend, terminate, or restrict your access to the Service, including your Customer account. Termination or suspension may occur for reasons including, but not limited to:

• Failure to provide requested verification or compliance with these Terms.
• Violations of applicable laws or specific Service-related rules.
• Inactivity as defined by STEMIO’s account management policies.

STEMIO also reserves the right to modify or discontinue any aspect of the Service at its discretion, including:

1. Restricting Service availability.
2. Limiting usage.
3. Terminating accounts or access to specific features.

You agree that STEMIO shall not be liable for any termination, modification, or discontinuation of the Service. Your sole remedy for dissatisfaction with any aspect of the Service is to stop using it and cancel your account or subscription.

2. Digital Content

All content available through the Service (“Digital Content”) is the property of STEMIO, its licensors, or content providers and is protected by copyright and intellectual property laws. Access to Digital Content is for personal, non-commercial use only. Customers may not copy, distribute, modify, or exploit Digital Content in any way. Access is granted through a limited license as defined in the Service’s parameters.

Subscriptions:
STEMIO offers subscription-based services providing access to a curated selection of eBooks or other content. Availability of content may vary, and STEMIO does not guarantee that specific content will always be available.

Trial Periods and Cancellation:
Subscriptions with trial periods grant temporary access, and payment will be charged automatically at the end of the trial unless canceled beforehand. Subscriptions may be canceled through the account settings; however, fees already paid are non-refundable.

Offline Access Restrictions:
Subscribers may download up to 15 eBooks simultaneously for offline reading. When downloading additional eBooks beyond this limit, older downloads will be automatically removed. STEMIO reserves the right to alter offline access rules without notice.

3. Payment Methods

Purchases can be made using Visa, MasterCard, and other payment methods supported in your region. STEMIO may obtain pre-approvals for the purchase amount, and billing will occur at the time of purchase.

4. Customers

Certain features are exclusive to registered Customers who create an account and agree to these Terms. As a Customer, you gain access to:

• Managing your purchases and downloads across devices.
• Unlimited storage for purchased content on STEMIO’s servers.
• Advanced features, including bookmarking and annotations.

By registering, you agree to:

1. Provide accurate, up-to-date information during registration.
2. Maintain the confidentiality of your account credentials and notify STEMIO of unauthorized access.

Personal data provided during registration is subject to STEMIO’s Privacy Policy.

5. Restrictions on Use

Audiobooks:
Subscription terms for audiobooks are subject to the same rules as eBook subscriptions, including non-transferable credits and automatic renewal unless canceled.

These terms apply to all users of the Service, including Customers.

A. Lawful Use:
You shall use the Service solely for lawful purposes. You shall not post or transmit through the Service any material that:
(i) infringes or violates the rights of others,
(ii) is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane, or otherwise objectionable, or
(iii) encourages behavior constituting a criminal offense, gives rise to civil liability, or otherwise violates the law.

Without STEMIO Singapore’s express prior approval, you shall not post or transmit through the Service any material containing advertising or solicitation for products or services. You shall not use the Service to advertise or perform any commercial solicitation, including soliciting users to subscribe to other online information services. Any conduct that, in STEMIO Singapore’s discretion, restricts or inhibits other users from using or enjoying the Service is prohibited.

B. Intellectual Property:
All content available on the Service, including but not limited to text, designs, graphics, pictures, videos, information, software, music, and sound (collectively, “Site Content”), is the proprietary property of STEMIO Singapore or its licensors, protected by copyright and other applicable laws. No Site Content may be copied, distributed, modified, reproduced, or transmitted in any form without prior written permission from STEMIO Singapore.

You are granted a limited license to access the Service and Site Content for personal, non-commercial use, provided you maintain all copyright and proprietary notices. Unauthorized use of the Service or Site Content, including data mining, robots, or other data extraction methods, is strictly prohibited and may result in termination of the license granted hereunder.

C. Copyright Compliance:
You may not upload, post, or make available any content protected by copyright, trademark, or other proprietary rights without explicit permission from the respective owner. You are responsible for ensuring content is not copyrighted. By submitting any material to public areas of the Service, you grant STEMIO Singapore a royalty-free, worldwide, irrevocable license to use, modify, and distribute such material.

E. Security Violations:
You are prohibited from attempting to violate the security of the Service, including but not limited to:

(b) Attempting to probe, scan, or test system vulnerabilities,
(c) Using automated tools like robots or spiders to access the Service,
(d) Overloading the Service infrastructure, or
(e) Interfering with the functionality of the Service through means like denial-of-service attacks.

Violations may result in civil or criminal liability. STEMIO Singapore may investigate and cooperate with law enforcement authorities to prosecute violators.

6. Disclaimer of Warranty; Limitation of Liability

A. Service Use:
You acknowledge that use of the Service is at your own risk. STEMIO Singapore does not guarantee uninterrupted or error-free access or accuracy of the Service.

B. “As Is” Basis:
The Service is provided “as is” without warranties of any kind, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

C. Limitation of Liability:
In no event shall STEMIO Singapore, its affiliates, employees, or partners be liable for damages arising from the use or inability to use the Service, including but not limited to direct, indirect, incidental, or consequential damages.

D. Specific Acknowledgment:
STEMIO Singapore is not responsible for user-generated content or third-party actions and disclaims liability for damages resulting from such conduct.

7. Monitoring
STEMIO Singapore reserves the right, but is not obligated, to monitor the content of the Service to ensure compliance with these Terms. It may remove any content deemed objectionable or in violation of its policies, at its sole discretion.

8. Indemnification

11. Public Domain

These terms are governed by the laws of Singapore. By using the Service, you agree to submit to the jurisdiction of Singaporean courts.
